Item 8.01Other Events.

 

Direct Digital Holdings, Inc. (the “Company”) is aware of the events surrounding Silicon Valley Bank (“SVB”). The Company does not have any material deposit exposure with SVB, as the Company maintains cash in SVB accounts (or the account of its FDIC-appointed successor) in an amount less than the FDIC-insured limit of $250,000 and does not hold any securities with or at SVB.

 

As previously disclosed, on January 9, 2023, the Company entered into a Loan and Security Agreement (the “Loan Agreement”), by and among SVB, as lender, and Direct Digital Holdings, LLC, the Company, Huddled Masses LLC, Colossus Media, LLC and Orange142, LLC, as borrowers, which provides for a revolving credit facility (the “Credit Facility”).

 

As the Company has not yet drawn any amounts under the Credit Facility, the Company has issued a notice of termination of the Loan Agreement and is in the process of terminating the Credit Facility. The Company has received a consent to terminate the Credit Facility and a waiver of the terms relating to the Credit Facility under its Term Loan and Security Agreement, dated as of December 3, 2021, with Lafayette Square Loan Servicing, LLC.

 

The Company reaffirms that, based on the Company’s expectations of its cash flow from operations and the available cash held by the Company, the Company believes that it will have sufficient cash resources to finance its operations and service any debt obligations until at least the end of fiscal year 2023.
