State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Direct Digital Holdings, Inc. (the “Company”) is unable to file its Annual Report on Form 10-K for the period ended December 31, 2022 within the prescribed time period without unreasonable effort and expense because extra time is needed for the Company’s independent auditors to complete their audit of the Company’s financial statements and issue their opinion. The Company will file the Form 10-K on or before April 17, 2023, the first business day following the fifteenth calendar day following the prescribed due date.

 

A letter from the Company’s independent registered public accounting firm, which is filed pursuant to Rule 12b-25(c) under the Securities Exchange Act of 1934, as amended, is attached as Exhibit 99.1 to this Form 12b-25.

The Company expects to report that (a) consolidated revenue in fiscal year 2022 was $88.0 million, an increase of $49.9 million, or 131%, over the $38.1 million in fiscal year 2021, (b) consolidated operating income increased to $2.3 million, or 52%, to $6.7 million for 2022 compared to operating income of $4.4 million for 2021 and (c) consolidated net income for 2022 was $2.9 million, compared to a net loss of $1.5 million in 2021. Please refer to the Company’s press release filed as Exhibit 99.1 to the Current Report on Form 8-K/A filed with the Commission on March 23, 2023 for a fuller explanation of the significant changes in results of operations for the fiscal period ended December 31, 2022 from the period ended December 31, 2021.
